These Terms and Conditions (“Terms”) govern your use of the services provided by emploi (“we,” “us,” or “our”) through our website and platform. By accessing or using our services, you agree to comply with these Terms. If you do not agree with these Terms, please do not use our services. By using this website, our services, creating an account, posting shipments, approval and acceptance of shipments, marketplace use, or any variation of the same, you acknowledge and agree, any violation where emploi will suffer a loss you may be subject to criminal prosecution.

1. Services:
   • We provide Drivers and Carriers with ai-powered human-driven transportation and logistics solutions via our online transportation and logistics load board and marketplace for ancillary services.
   • Full-service dispatch services
   • Our dispatch services may include shipment location, booking, and placement and ancillary transportation and logistics sector services. .
2. Eligibility:
   • You must be at least 18 years old and legally capable of entering into a binding agreement to use our services.
   • You must submit a completed Driver Packet for Drivers and completed Carrier Packet for Carriers
   • You are responsible for providing accurate and complete information when using our services.
3. User Accounts:
   • You may be required to create an account to access certain features of our platform.
   • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
   • We have a zero-tolerance circumvention policy and double brokering policy. All interactions between Drivers, Carriers, Dispatchers, Shippers, and Government must be and take place on the emploi platform, marketplace, or app. Any attempt to circumvent the emploi business process is any way, directly or indirectly, the offending parties will be immediately banned from the emploi system. The offending party(ies) will also be responsible to remunerate emploi for the total amount of loss plus $2000 for each offense and shall forfeit any pay from any subject shipment. Further, emploi will undertake any remedy to its furthest extent available by law to remedy any loss.

4. Payment and Fees:
   • Administrative Services Fee – 10% of the gross pay quoted, booked, and approved for all shipments
   • Marketplace Access Fee – $9.99 per month. Drivers and Carriers have full operational ability without Marketplace Access. Marketplace Access provides a more preferred and customized experience locating, negotiating, booking, and transporting shipments. will be provided to you prior to purchase or transaction.
   • You agree to pay all fees associated with your use of our services in accordance with the payment terms specified.
5. Intellectual Property:
   • All content, materials, and trademarks on our website and platform are owned or licensed by emploi On-Demand! and are protected by intellectual property laws. Any reproduction, theft, fraud, or any activity related to the same will be immediately prosecuted to the fullest extent permitted by law.
   • You may not use, reproduce, modify, or distribute our content without our prior written consent.
6. Privacy:
   • We collect, use, and disclose personal information in accordance with our Privacy Policy. By using our services, you consent to our collection and use of your information as described therein.
7. Limitation of Liability:
   • We are not liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of our services.
   • We make no warranties or representations regarding the accuracy, completeness, or reliability of the information provided through our platform.
8. Indemnification:
   • You agree to indemnify and hold us harmless from any claims, damages, losses, or liabilities arising out of your use of our services or violation of these Terms.
9. Governing Law and Dispute Resolution:
   • These Terms are governed by the laws of the state of Nevada, without regard to its conflict of laws principles.
   • Any dispute arising out of or relating to these Terms, other than Intellectual Property, shall be resolved through arbitration in accordance with the rules of the American Arbitration Association (AAA)-International Centre for Dispute Resolution (ICDR), and the arbitration shall take place in the state of Nevada.
10. Changes to Terms:
    • We reserve the right to update or modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting on our website.
    • Your continued use of our services after the posting of revised Terms constitutes your acceptance of the changes.
